Terms of Service

These Terms of Service ("Terms") govern your use of the SyncDays App ("Web Application") and any related services provided by SyncDays App ("we", "us", or "our").

SyncDays App is a sole trader.

Please read these terms and conditions carefully, as they affect your legal rights. By accessing or using our Web Application, you agree to be bound by these Terms. If you disagree with any part of these Terms, you must not use our Web Application.

These terms and conditions contain the whole agreement between the parties relating to its subject matter and supersede all prior discussions, arrangements or agreements that might have taken place in relation to the terms and conditions.

In these Terms:

"Content" means any text, images, video, audio, or other materials appearing on the Web Application, including any such content uploaded by User.

"User" means any person who accesses or uses the Web Application and is not either (i) employed by SyncDays App and acting in the course of their employment or (ii) engaged as a consultant or otherwise providing services to SyncDays App and accessing the Web Application in connection with the provision of such services.

"Account" means the registered account you request to create to access certain features of the Web Application.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on the Web Application and updating the "Last Updated" date.

Your continued use of the Web Application after any changes indicates your acceptance of the modified Terms. We encourage you to review these Terms periodically.

To access our Web Application, you are required to request an account at register@syncdays.co.uk or fill out the registration form on the Syncdays website (https://syncdays.co.uk). 

When creating an account, you agree to:

Provide accurate, current, and complete information

Maintain and promptly update your account information

Keep your password secure and confidential

Accept responsibility for all activities that occur under your account

Notify us immediately of any unauthorised use of your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or violates these Terms.

When you register with SyncDays, you will be provided with login credentials containing a login name and password. User is responsible for updating this password within three working days and keeping the new password secure and confidential. 

Subscription renewals are the User's responsibility and can be requested via email subscriptions@syncdays.co.uk 

You may request to cancel your subscription and account deletion at any time by informing us in writing at the email address subscription@syncdays.co.uk at the end of these terms and conditions. If you do so, you must immediately stop using the Web application. Cancellation or suspension of your registration does not affect any statutory rights. 

You agree to use the Web Application only for lawful purposes and in accordance with these Terms. You agree not to:

Record or enter any personal information inside SyncDays or request any personal information from anyone via hosted pages.

Use the Web Application in any way that violates any applicable UK or international law or regulation

Use the Web Application to transmit any unsolicited or unauthorised advertising or promotional material

Impersonate or attempt to impersonate SyncDays App, its employees, another user, or any other person or entity

Making, transmitting, or storing electronic copies of Content protected by copyright without the permission of the owner.

Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Web Application

Use any robot, spider, or other automatic device to access the Web Application for any purpose

Introduce any viruses, Trojan horses, worms, or other malicious or technologically harmful material

Attempt to gain unauthorised access to any part of the Web Application, other accounts, or computer systems

Attack the Web Application via a denial-of-service attack or a distributed denial-of-service attack

The Web Application and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof), unless entered by User or by shared users via hosted pages, are owned by SyncDays App.

You may not:

Record or enter any personal information or request personal information from anyone via shareable links or hosted pages. You will be liable for any such information entered by you or any shared user. 

Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from our Web Application, except as permitted by these Terms

Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text

Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Web Application

Our name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of SyncDays App or its affiliates. You must not use such marks without our prior written permission.

This Web Application may contain links to other sites. Unless expressly stated, these sites are not under the control of SyncDays or that of our affiliates. 

We assume no responsibility for the content of such Websites and disclaim liability for any and all forms of loss or damage arising out of the use of them.

The inclusion of a link to another site on this Website does not imply any endorsement of the sites themselves or of those in control of them.

User is responsible for the content inside the hosted pages for form submissions linked to pages

The information provided on this Web Application is for general informational purposes only. While we endeavour to keep the information up to date and correct, we make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability, or availability of the Web Application or the information, products, services, or related graphics contained on the Web Application.

Whilst SyncDays App uses reasonable endeavours to ensure that the Website is secure and free of errors, viruses and other malware, we give no warranty or guarantee in that regard and all Users take responsibility for their own security, that of their personal details and their computers.

Any online facilities, tools, services or information that SyncDays App makes available through the Web Application (the Service) is provided "as is" and on an "as available" basis. We do not guarantee that the Web Application will always be available or be uninterrupted. We may suspend, withdraw, discontinue, or change all or any part of the Web Application without notice. We will not be liable to you if for any reason the Web Application is unavailable at any time or for any period.

You may not transfer any of your rights under these terms and conditions to any other person. We may transfer our rights under these terms and conditions where we reasonably believe your rights will not be affected.

We exclude all implied conditions, warranties, representations, or other terms that may apply to our Web Application or any content on it.

We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

Use of, or inability to use, our Web Application

Use of or reliance on any content displayed on our Web Application

In particular, we will not be liable for:

Death or personal injury resulting from our or your negligence, as applicable;

Loss of profits, sales, business, or revenue

Business interruption

Loss of anticipated savings

Loss of business opportunity, goodwill, or reputation

Any indirect or consequential loss or damage

Fraud or fraudulent misrepresentation

We will not be liable to you in respect of any losses arising out of events beyond our reasonable control. 

Our total liability to you for all claims arising under or in connection with these Terms shall not exceed the total amount of fees paid by you to us in the 12 months preceding the claim.

We may terminate or suspend your access to the Web Application immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms.

We may also terminate or suspend your account immediately, without prior notice or liability, if you breach these Terms.

Upon termination, your right to use the Web Application will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Dispute Resolution

If you have any dispute or complaint regarding our services, please contact us first at contact@syncdays.co.uk. We will try to resolve the matter informally.

If we cannot resolve the dispute through informal negotiation or ADR, the dispute shall be submitted to the exclusive jurisdiction of the courts of England and Wales.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or your use of the Web Application shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by any court or other competent authority, such provision shall be modified or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect. 

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Web Application and our website, constitute the entire agreement between you and SyncDays App concerning your use of the Web Application.
